Format of Service Contracts as per Indian contract act 1872

SERVICE AGREEMENT

(As per the Indian Contract Act, 1872)

This Service Agreement is made and entered into on [Date], at [Place], by and between:

  1. Service Provider: [Service Provider’s Name], a company/individual registered under [Applicable Law], having its registered office at [Address] (hereinafter referred to as the “Service Provider”).
  2. Client: [Client’s Name], a company/individual registered under [Applicable Law], having its registered office at [Address] (hereinafter referred to as the “Client”).

(The Service Provider and Client shall be collectively referred to as “Parties” and individually as “Party”).


1. SCOPE OF SERVICES

1.1 The Service Provider agrees to provide the following services to the Client:

  • [Detailed Description of Services]
    1.2 The services shall be performed at [Location] or remotely, as agreed by both parties.
    1.3 Any additional services required by the Client shall be subject to mutual agreement and additional charges.

2. DURATION OF AGREEMENT

2.1 The agreement shall commence on [Start Date] and shall continue until [End Date], unless terminated earlier as per Clause 7.
2.2 The contract may be renewed upon mutual agreement.


3. PAYMENT TERMS

3.1 Service Fee: The Client agrees to pay the Service Provider an amount of ₹[Total Amount] for the services rendered.
3.2 Payment Schedule:

  • Advance Payment: ₹[Amount] before service commencement.
  • Balance Payment: ₹[Amount] upon completion of services OR as per agreed milestones.
    3.3 Late Payment: A penalty of [Percentage]% per month shall be charged on overdue payments.
    3.4 Taxes & Deductions: Applicable taxes (GST, TDS, etc.) shall be borne by [Client/Service Provider] as per law.

4. OBLIGATIONS OF THE PARTIES

4.1 Obligations of the Service Provider

  • Perform services with professionalism and diligence.
  • Maintain confidentiality of any sensitive information.
  • Comply with applicable laws and industry standards.

4.2 Obligations of the Client

  • Provide all necessary information and access required for service completion.
  • Ensure timely payment as per agreed terms.
  • Cooperate with the Service Provider in resolving any service-related issues.

5. CONFIDENTIALITY & NON-DISCLOSURE

5.1 The Service Provider shall not disclose any confidential information related to the Client’s business, except where required by law.
5.2 This confidentiality obligation shall survive [Number] years after contract termination.


6. INTELLECTUAL PROPERTY RIGHTS

6.1 Any intellectual property (IP) created during the provision of services shall belong to [Client/Service Provider], as agreed.
6.2 The Service Provider shall not use the Client’s trademarks, logos, or proprietary materials without written consent.


7. TERMINATION OF AGREEMENT

7.1 This agreement may be terminated by either party by giving [Number] days’ written notice.
7.2 The agreement may be terminated immediately if:

  • A party fails to perform contractual obligations.
  • Either party becomes insolvent or bankrupt.
  • Any material breach of this contract occurs.

8. LIABILITY & INDEMNITY

8.1 The Service Provider shall not be liable for indirect, incidental, or consequential damages.
8.2 The Client agrees to indemnify the Service Provider against claims arising from the misuse of delivered services.


9. FORCE MAJEURE

Neither party shall be liable for delays or failures due to unforeseen events such as natural disasters, war, or government restrictions.


10. DISPUTE RESOLUTION & GOVERNING LAW

10.1 Any disputes arising under this contract shall first be attempted to be resolved through mediation.
10.2 If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
10.3 The courts of [City/Jurisdiction] shall have exclusive jurisdiction, and this agreement shall be governed by Indian law.


11. GENERAL CLAUSES

11.1 Entire Agreement: This agreement constitutes the entire understanding between the parties.
11.2 Amendments: Any modifications must be made in writing and signed by both parties.
11.3 Severability: If any clause is found invalid, the remaining provisions shall still be enforceable.
